These Terms of Service (“Terms”) govern your access to and use of the products and services provided by adsystems.io LLC, doing business as “Slate AI” and “Slate Leads” (“Slate,” “we,” “us,” or “our”) for insurance professionals in the United States.
By creating an account with Slate, accessing our websites or applications, or using our services (including any trials), you agree to be bound by these Terms and our Slate Privacy Policy. If you do not agree, do not use the services.
1. Who We Are and What We Do
Slate AI / Slate Leads is a business unit of adsystems.io LLC that provides tools and services to insurance professionals, including:
- Lead generation and delivery
- AI calling and SMS
- CRM and automation services (including sub-accounts we provision or manage)
- Reporting, analytics, and performance dashboards
- Marketplace and wallet tools for purchasing and managing leads
We serve:
- Individual agents and producers
- Agencies, IMOs/FMOs, and distributors
- Carriers and their staff
We operate only in the United States. Our services are not intended for consumers.
2. Eligibility; Business Use Only
The services are intended only for:
- Individuals who are 18 years of age or older, and
- Businesses and professionals located in the United States
By using Slate, you represent and warrant that:
- You are at least 18 years old;
- You are acting on behalf of a legitimate business (e.g., agent, agency, IMO/FMO, carrier); and
- You have authority to bind yourself and/or that business to these Terms.
You agree that you will use Slate solely for business purposes and not for personal or consumer use.
3. Accounts and Access
To use Slate, you may need to create an account and provide certain information (name, email, phone, company, billing details, etc.).
You agree to:
- Provide accurate, current, and complete information;
- Keep your login credentials secure;
- Not share your credentials with unauthorized parties; and
- Be responsible for all activities that occur under your account.
We may, at our sole discretion, refuse, suspend, or terminate accounts that violate these Terms or appear to present a risk to Slate or others.
4. Description of Services
Slate may provide some or all of the following services (collectively, the “Services”):
Lead Generation & Delivery
Providing you with leads generated through our marketing systems (including PolicyClover and other channels) and delivering those leads to your chosen destination (e.g., CRM, spreadsheets, Slate dashboards).
Lead Marketplace / Wallets
Allowing you to fund a balance or wallet and purchase exclusive or non-exclusive leads according to your selected plan or “Lead Flow Plan.”
AI Call & SMS Tools
Providing dialers, AI calling, SMS, and follow-up sequences to work your leads, subject to applicable law and your configuration.
CRM / Automation Sub-Accounts
Provisioning and managing sub-accounts (e.g., within GoHighLevel or similar platforms) for you, including pipelines, automations, and workflows.
Reporting & Analytics
Providing views into lead volume, performance metrics, and other usage data.
Support & Success
Offering onboarding, training, Slack access, content, and other support resources.
We may add, change, or discontinue features over time. Certain features may be offered only in specific plans or tiers.
5. Leads and Consumer Data; Your Responsibility
5.1 Leads You Receive from Slate
Leads generated and delivered through Slate (including through PolicyClover or other acquisition systems) are provided for your benefit and under your control.
Once a lead is delivered to you:
- You are solely responsible for how you contact and work that lead;
- You are solely responsible for your sales practices, advice, recommendations, and policy design; and
- You assume all liability for your interactions with that lead or any resulting policy or transaction.
Slate does not control, supervise, or manage how you:
- Call, text, or email leads;
- Structure policies, illustrations, or recommendations; or
- Comply with applicable laws, carrier rules, or professional standards.
5.2 Other Contacts You Import
You may choose to upload or sync other contacts or leads into systems Slate provides or manages (e.g., CRM sub-accounts or dialers).
For any such data:
- You represent and warrant that you have all necessary rights, consents, and permissions to use that data with Slate’s tools;
- You are solely responsible for compliance with TCPA, DNC rules, privacy laws, insurance regulations, carrier requirements, and any other applicable rules; and
- Slate is not liable for your use or misuse of any contacts you import.
If you import or process data in violation of applicable law or these Terms, you are solely responsible for any resulting claims or damages.
5.3 No Responsibility for Outcomes
You understand and agree that Slate:
- Does not guarantee any particular number of sales, appointments, policies, or revenue from leads;
- Does not guarantee that any particular lead is insurable, qualified, or will respond or convert;
- Is not responsible for chargebacks, cancellations, or persistency issues on policies you write; and
- Is not liable for any disputes between you and your clients, carriers, uplines, downlines, or any other third parties.
6. Your Compliance Obligations
You agree that you are solely responsible for complying with all laws, regulations, and rules that apply to your business and use of the Services, including but not limited to:
Telemarketing and Communications Laws
- Telephone Consumer Protection Act (TCPA)
- CAN-SPAM
- SMS regulations
- Internal and national Do-Not-Call rules
Insurance Laws and Regulations
- Licensing requirements
- Advertising rules
- Carrier compliance
- Suitability and best-interest obligations
Privacy and Data Protection Laws
- State privacy laws where applicable
Industry Requirements
- Carrier requirements
- IMO/FMO requirements
- Distribution partner requirements
You acknowledge that:
- Slate is not your legal, compliance, or tax advisor;
- Any templates, scripts, or automations we provide are examples only; and
- You must review and adapt them with your own counsel or compliance teams.
If we become aware of clear and ongoing misuse of our systems that poses legal or reputational risk (e.g., spam, harassment, fraud), we may suspend or terminate your access.
7. Fees, Billing, and Financing
7.1 Fees and Payment
You agree to pay all fees associated with your use of Slate, including:
- Platform / service fees (e.g., Slate Pro, subscriptions)
- Lead fees (e.g., per-lead pricing, Lead Flow Plans, wallets)
- Usage-based fees (e.g., overages, additional seats, certain AI/dialer usage)
- Any applicable taxes
We may charge your payment method (e.g., credit card, ACH) on a recurring basis (for subscriptions) or as wallets are replenished, according to the terms you agreed to at signup.
Stored Payment Methods and Future Charges. By providing a payment method to Slate, you authorize Slate and its third-party payment processors (including Stripe, Whop, and any other payment providers we may use) to securely store your payment credentials and maintain them on file for future transactions. You authorize Slate to charge your stored payment method for recurring subscription fees, wallet replenishments, usage-based fees, overages, outstanding balances, renewals, and any other amounts due under your agreement with Slate. Such charges may be processed without additional notice or action by you ("off-session" charges) when authorized by your plan, subscription, wallet settings, or other agreement with Slate. You further authorize Slate to retry failed payments and update payment information through account updater services where available. This authorization remains in effect until your account is terminated and all outstanding obligations have been satisfied.
7.2 Financing Partners
We may offer access to third-party financing partners who can help you finance certain fees or lead purchases.
Any financing arrangements are between you and the financing partner. Slate is not a lender, does not control financing terms, and is not responsible for any obligations under such agreements.
7.3 Changes to Pricing
We may change pricing or introduce new fees from time to time.
For recurring plans, we will provide notice of material pricing changes in accordance with your agreement or applicable law.
Your continued use of the Services after such changes constitutes acceptance.
8. Trials, Term, and Cancellation
8.1 Term
These Terms apply from the moment you first use the Services and continue until terminated by you or us, as permitted here or in any specific order form or agreement.
8.2 Cancellation by You
You may cancel your subscription or terminate your access to the Services by following the instructions provided in your account or agreement.
Where explicitly permitted, we will also accept a formal cancellation message in Slack from an authorized user, which must clearly state your intent to cancel and the effective date.
Certain fees (e.g., pre-paid leads, wallets, or minimum commitments) may be non-refundable according to your specific plan or contract.
8.3 Suspension or Termination by Slate
We may suspend or terminate your access to the Services (in whole or in part) immediately if:
- You breach these Terms or any other applicable agreement;
- You fail to pay fees when due;
- We reasonably believe your use of the Services creates a security, legal, or reputational risk; or
- We decide, in our sole discretion, to discontinue some or all of the Services (in which case we will provide reasonable notice where feasible).
Upon termination, your right to use the Services will cease, but Sections that by their nature should survive (e.g., limitations of liability, indemnification, payment obligations, dispute resolution) will remain in effect.
9. Intellectual Property
Slate and its licensors retain all rights, title, and interest in and to the Services, including all software, content, designs, trademarks, logos, and other intellectual property, except for your own content and data.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes in accordance with these Terms.
You may not:
- Copy, modify, or create derivative works of the Services;
- Reverse engineer, decompile, or attempt to extract source code;
- Remove or alter any proprietary notices; or
- Use our trademarks, logos, or branding without our prior written consent.
10. Third-Party Services and Integrations
The Services may integrate with or link to third-party websites, applications, and services (e.g., CRMs, dialers, ad platforms, financing partners).
We do not control, endorse, or assume responsibility for:
- The content, policies, or practices of any third-party services; or
- Any products or services offered by those third parties.
Your use of third-party services is at your own risk and subject to their own terms and privacy policies.
11. Disclaimer of Warranties
YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.
To the maximum extent permitted by law, Slate provides the Services “AS IS” and “AS AVAILABLE”, without warranties of any kind, whether express or implied.
We disclaim any warranties of:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Title
- Any warranties arising from course of dealing or usage of trade
We do not warrant that the Services will be:
- Uninterrupted, secure, or error-free; or
- That any particular number of leads, sales, or results will be achieved.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Slate (and its owners, officers, employees, contractors, and affiliates) will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits or revenue arising out of or related to your use of (or inability to use) the Services, even if advised of the possibility of such damages.
Without limiting the foregoing, we are not liable for any acts, errors, or omissions by:
- You;
- Your employees or contractors;
- Your uplines/downlines;
- Carriers; or
- Any third parties to whom we provide or sell leads or with whom you interact using the Services.
Aggregate Liability Cap
Our total aggregate liability for any claim arising out of or related to these Terms or the Services will not exceed the greater of:
(A) One Hundred U.S. Dollars (US $100), or
(B) The amount you directly paid to Slate for the specific Service giving rise to the claim in the twelve (12) months preceding the event first giving rise to the claim.
Some states do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply. In such cases, liability will be limited to the maximum extent permitted by applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Slate and its owners, officers, employees, contractors, and affiliates from and against any and all losses, liabilities, claims, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Services;
- Your handling of leads and consumer data;
- Your sales practices, advice, recommendations, or policy designs;
- Your violation of these Terms or any applicable law; or
- Any claim made by a client, carrier, regulator, or other third party arising from your conduct.
14. Governing Law and Dispute Resolution
These Terms and any disputes arising out of or related to them or your use of the Services will be governed by the laws of the State of Wyoming, without regard to its conflict of law principles.
14.1 Informal Resolution
Before initiating any formal dispute, you agree to first contact us at:

and attempt in good faith to resolve the matter informally.
14.2 Arbitration; Class Action Waiver
If we cannot resolve the dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis, rather than in court, except that you or we may bring qualifying claims in small-claims court.
The arbitration will be conducted in Sheridan County, Wyoming, or by remote means, by a single arbitrator from a recognized arbitration provider.
YOU AND SLATE WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. ARBITRATION MUST BE ON AN INDIVIDUAL BASIS ONLY.
You may opt out of this arbitration provision by sending written notice to:

15. Changes to These Terms
We may update these Terms from time to time.
When we do, we will change the “Last Updated” date at the top.
If we make material changes, we may provide additional notice (e.g., on our websites or via email).
Your continued use of the Services after any changes means you accept the updated Terms.
